Bookezi Terms of Use
1. Operator, scope and acceptance
1.1 Bookezi is owned and operated by The Gamifier Group FZ LLE, licence number 15746/2020, licensed by Fujairah Creative City, Media Free Zone, with its address at Office 1309, 13th Floor, Creative Tower, Fujairah, UAE (Gamifier, the Company, we, us or our). These Terms govern access to and use of the Bookezi mobile application, website and related club, community and activity-management software services (the Platform).
1.2 You must review and expressly accept these Terms when registering, through an affirmative action such as an unticked checkbox or clearly labelled acceptance control. These Terms must be accessible before acceptance. We record the applicable version and acceptance against the account. A person requiring a parent or guardian's approval must also complete the approval process in clause 1.6 before their account is activated. If you do not agree, you must not create an account or use services requiring an account. Accepting these Terms does not itself constitute acceptance of a Club's membership terms or an Event waiver.
1.3 The minimum age for a personal Member account is 15 years, subject to any higher age, consent or access requirement imposed by applicable law or restrictions applying to the relevant version or distribution of the Platform. A 15+ eligibility rule is not permission to use Bookezi where that use is legally prohibited. We may restrict account access, features or availability by age or location to meet applicable requirements. A person under 15 must not create or use a personal Bookezi account, and nobody may falsify age or use another person's account to evade a restriction.
1.4 Organisers subscribing to paid administrative services must also accept the Organiser Subscription Agreement and applicable subscription order. A named adult subscribing for an informal Club without separate legal personality contracts personally. A person subscribing for a legal entity must have authority to bind it. The Organiser Subscription Agreement governs paid subscription matters, including billing, cancellation, refunds and subscription liability; these Terms govern general Platform use. Any conflict is resolved under the precedence provisions of that agreement, subject to mandatory law. Ordinary Member registration, including registration by a minor, does not create an Organiser subscription or an Organiser indemnity.
1.5 A Club means an independent club, community, informal group, dealership or other participating organisation, including automotive, running, hiking and other interest or activity communities. An Organiser means the individual or legal entity responsible for operating a Club or Event. An Event means a drive, meetup, track day, motorsport activity, off-road excursion, run, hike, trip, overnight excursion or other listed activity. A Member means a person using the Platform as a community member or participant. User Content means information or material submitted to the Platform, including profiles, vehicle information where relevant, images, announcements, Event details, documents and administrative records. A minor means a person under 18 years for the child-safety provisions of these Terms; any additional capacity or guardian requirement under applicable law also applies. You and your refer to the Platform user, including an Organiser where the context requires.
1.6 If you are under 18, or otherwise require a parent or legal guardian's approval under applicable law, your parent or legally authorised guardian must review these Terms and the Privacy Policy with you and provide documented approval through the required process before your account is activated. They must expressly approve your permitted use and accept these Terms to the extent they may lawfully do so on your behalf. We may verify their identity, authority and approval using proportionate measures. A minor's declaration that permission has been obtained is not sufficient by itself. Guardian approval for Platform use does not automatically approve Club membership, Event attendance, public promotional photographs or unrelated data uses. Approval cannot override a legal age prohibition or waive rights that cannot lawfully be waived. A guardian must supervise permitted use appropriately and may contact support to withdraw approval; we may then restrict or close the affected account, subject to lawful retention and applicable rights.
1.7 Paid subscribers, Organisers and users with privileged Club-administration or Event-creation permissions must be at least 18 and have the legal capacity and authority required for their role, including any higher applicable age requirement. A minor cannot buy an Organiser subscription, hold privileged administrator access or create, operate or lead an Event through Bookezi. Each account is personal to its authorised user. Organisations must act through authorised adults using individual logins. Guardian approval is recorded separately; it does not permit credential sharing or use of an adult account to bypass a restriction.
1.8 Users must provide accurate age and account information and cooperate with reasonable, lawful age-assurance and guardian checks. We may restrict access while required checks are incomplete or where eligibility is in doubt. Checks must be proportionate, respect privacy and collect no more information than necessary for the disclosed purpose. Where applicable law requires more than self-declared age, a date-of-birth entry alone is insufficient. Club Organisers must apply the Platform's age restrictions and any higher lawful Club or Event age limits.
2. Bookezi's service and independent organisers
2.1 Bookezi provides software through which users may discover Clubs, communities, activities and Events, apply to join communities, manage member profiles and vehicle information where relevant, view Event information, reserve or cancel places, receive announcements and access Club benefits and independent partner offers. It supports different membership structures and experience or skill categories. Features depend on availability, age eligibility, permissions, configuration and the relevant Club's subscription.
2.2 Organisers populate and administer their communities and independently organise their Events. Gamifier does not organise, lead, supervise, co-host or operate those Events; provide driving instruction, sporting coaching, routes, navigation, terrain or difficulty assessments, fitness assessments or activity safety guidance; or act as an Organiser's agent, insurer, safeguarding supervisor or emergency-response service. Information of this kind displayed through Bookezi is supplied by the identified Organiser or another independent contributor. This allocation of Event responsibilities does not remove Gamifier's own Platform safety, privacy or other legal obligations.
2.3 Membership, Event participation and any purchase of an underlying activity or service are arrangements with the identified Organiser or supplier. Gamifier is not a party to those arrangements merely because Bookezi is used to communicate information or manage a reservation. Gamifier remains responsible for its own software service and conduct as required by applicable law.
2.4 We may assist Organisers with implementation and check their identity or authority. This assistance and these checks do not certify a Club's legal compliance, permits, insurance, competence, Event safety, routes or waivers. A listing, onboarding check or identification of an Event leader does not constitute a recommendation, safety approval or guarantee by Gamifier.
2.5 Bookezi is launched in the UAE and may be accessible internationally. Accessibility does not establish that a particular Club, Event or activity is lawful or suitable in every country. Users and Organisers must comply with the laws applicable to their activities. Mandatory rights that apply to a user are not displaced by these Terms.
3. Accounts, access and security
3.1 Provide accurate, current information and update material changes. Protect your login details, use only access permissions granted to you, and notify support promptly if you suspect compromise or misuse. Do not impersonate another person, falsify age, guardian approval or documents, misrepresent relevant experience, qualifications or vehicle information, or use another person's credentials.
3.2 You are responsible for your own actions and account activity that you authorise or for which you are otherwise legally responsible. This does not make you automatically liable for unauthorised activity caused by our failure to meet applicable security obligations.
3.3 Organisers determine Club admission, membership categories, skill classifications and administrative permissions. Club access may end when your membership ends or the Club's subscription expires or terminates. Removal from one Club does not necessarily close your Bookezi account or other Club memberships. Handling of retained Club records is explained in the applicable privacy notices; subscription exit and export arrangements are governed by the Organiser Subscription Agreement.
3.4 We may require proportionate age, identity, guardian-authority or subscription-authority checks to protect accounts, meet applicable requirements, administer subscriptions or investigate abuse. Additional personal-information collection must be explained through the Privacy Policy and handled on a lawful basis. Organiser onboarding checks and account age checks do not verify fitness, driving entitlement or suitability for a particular Event.
4. Club terms, Event conditions and acceptance records
4.1 Clubs and Organisers must provide and maintain membership terms, conduct rules, age and other eligibility requirements, cancellation policies and privacy notices appropriate to their activities. They must supply applicable Event conditions and required permissions or waivers before accepting reservations or participation. Each Club and Event must identify its responsible individual or legal entity. An informal Club must identify its responsible adult Organiser. Clubs admitting minors must also provide appropriate guardian-permission and safeguarding arrangements.
4.2 Membership terms and Event conditions are agreements with the identified Club or Organiser. Applicable Club terms must be made available and expressly accepted before membership is approved. Applicable Event conditions and required waivers must be accepted before a reservation is confirmed, including for driving, running, hiking and other activities. Where a minor or another person lacks the necessary legal capacity, the Organiser must obtain the required acceptance and permission from a legally authorised parent or guardian through a suitable, recorded process. A minor's account acceptance, an adult's ordinary Platform acceptance or a single general Club waiver does not replace required guardian or Event-specific approval. Organisers are responsible for their documents' content, legality and suitability. Acknowledging a privacy notice is not blanket consent to all processing.
4.3 Organisers must make applicable documents available before requesting acceptance. Bookezi records the accepted document version, accepting account identifier and acceptance date and time. Where separate guardian approval is required, the responsible party must also retain the approver's identity, lawful authority, approved scope, relevant document version and approval date and time, using the available workflow or a suitable secure record. A minor's checkbox must not be recorded as an adult guardian's acceptance. Records must remain accessible to authorised personnel under applicable access and retention rules. Later updates must not overwrite historical acceptance evidence. Recording acceptance does not establish that a document or waiver is lawful, enforceable or suitable.
4.4 Club terms govern Club membership and Event participation; these Terms govern Platform use. Club terms may not alter Gamifier's obligations, impose obligations on Gamifier without its written agreement, permit unlawful conduct or bypass Platform privacy or security restrictions. Mandatory law prevails over both sets of terms.
4.5 Organisers must present material changes for renewed acceptance where required. Acceptance of one Club's terms does not automatically accept another Club's terms or every future Event waiver. Event-specific requirements must be communicated before the relevant reservation or participation, as appropriate.
4.6 Direct complaints concerning membership, Event operations, safety, cancellations or underlying services to the responsible Organiser. You may also report Platform misuse or related concerns to Bookezi. Gamifier may assist with a complaint without assuming operation of the Club or Event or guaranteeing its resolution. Nothing prevents a complaint to a competent authority.
5. Activity eligibility, driving, safety and minors
5.1 Driving, motorsport, off-road travel, running, hiking, outdoor trips and other activities can involve serious risks, including injury, death, exposure, becoming lost, vehicle or equipment damage and other loss. Read the Organiser's information and assess your fitness, experience, equipment, vehicle where relevant and the expected conditions before participating. Account eligibility does not establish activity eligibility. Acknowledging inherent risks does not waive any right or claim that cannot lawfully be waived.
5.2 Anyone participating as a driver must hold a valid driving licence appropriate to the vehicle, activity and jurisdiction, satisfy the applicable legal minimum driving age and licence conditions, and hold any additional required authorisation. They must have legally required and activity-appropriate insurance and use a mechanically sound, suitably equipped vehicle lawful for the activity. Public-road vehicles must meet applicable registration and roadworthiness requirements. A learner's licence or permit does not authorise driving outside its legal conditions. App access from age 15 does not authorise driving. Ordinary road insurance must not be assumed to cover racing, track use, off-road driving or international travel. The Organiser may apply stricter lawful Event requirements.
5.3 Organisers, not Gamifier, must verify required driver documents and eligibility when a person joins as a driver and before their first drive. They must apply suitable repeat, expiry and Event-specific checks. For other activities they must check relevant age, experience, qualification, equipment and participation requirements. A declaration, uploaded document, age check or reservation does not replace the Organiser's checks. Users must report relevant changes or expiry and must not participate when requirements are unmet. Information collected for checks must be necessary and handled lawfully.
5.4 Comply with traffic laws, venue and land-access rules, permits and lawful safety instructions. Do not interact with Bookezi in a way that distracts you while driving or creates danger during another activity. Stop in a safe, lawful place before using the application. Do not participate while impaired, race unlawfully, drive recklessly, trespass or pressure others to exceed their capabilities. An Organiser's instruction cannot justify unlawful or unsafe conduct.
5.5 Each Organiser is responsible for planning, assessing, arranging, operating and supervising its Club and Events and exercising appropriate due diligence. This includes applicable legal compliance, permissions, permits, land access, route and venue suitability, weather and environmental conditions, activity-appropriate insurance, participant eligibility, vehicle or equipment checks, competent adult leaders and any required professional qualifications, risk assessments, briefings, safeguarding and supervision of minors, emergency contacts, first-aid and emergency or recovery arrangements, and decisions to change or cancel an Event. Providing software fields, communications or reservation tools does not transfer these responsibilities to Gamifier. Gamifier does not monitor Events or confirm that these measures have been implemented. Participants remain responsible for their own conduct and applicable requirements.
5.6 Minors may join a Club or attend an Event only where applicable law, the Club and the Organiser permit it and required guardian approval, eligibility checks and supervision are in place. The Organiser must explain the activity, risks, meeting and return arrangements, supervision and any required Event-specific guardian permission. For vehicle Events, minor passengers must have suitable lawful seating, restraints and supervision. A minor may participate as a driver only if they independently satisfy every requirement in clauses 5.2 and 5.3, the law permits it, the Organiser allows it and any required guardian permission is obtained. Running, hiking or other participation must meet the relevant age, fitness, equipment and supervision requirements. A guardian or minor cannot waive rights that cannot lawfully be waived. Children below the personal-account minimum may be included in an adult's lawful attendance arrangements without receiving an account, subject to clause 9.6.
5.7 Bookezi is not an emergency service. Contact the relevant emergency services and Event leader directly in an emergency. Do not rely on a report, notification or message through Bookezi for urgent assistance.
5.8 Participants in running, hiking and other non-driving activities must meet the Organiser's disclosed lawful requirements for age, experience, fitness, qualifications and equipment. Vehicle details, driving licences and vehicle insurance are not required for an activity simply because it is listed on Bookezi; they apply where relevant to the participant's role. Organisers must collect any necessary health or accessibility information only on a lawful basis, explain its purpose and keep it restricted. Bookezi does not provide medical advice or certify fitness to participate.
6. Reservations, cancellations, charges and offers
6.1 A displayed Event or reservation does not itself guarantee admission, availability or safe participation. Confirm requirements and reservation status with the Organiser and check material updates. Organisers must communicate material changes and cancellations promptly through suitable channels.
6.2 Members may cancel reservations using the available tools or by contacting the Organiser. Event cancellation, rescheduling, no-show and membership consequences are governed by the Club's disclosed conditions, subject to applicable law.
6.3 Downloading Bookezi and ordinary Member use are free. Gamifier charges Organisers separately for administrative software subscriptions under the Organiser Subscription Agreement and subscription order. Those charges, payment arrangements, renewals, cancellations and refunds are governed by that separate agreement. Your own connectivity or mobile-service charges remain your responsibility.
6.4 Bookezi does not collect Club dues, Event charges, deposits or payments for underlying activities. Any external payment arrangement is between you and the identified recipient. Gamifier does not hold those funds or administer their refunds. This does not exclude responsibility for Gamifier's own actionable conduct or mandatory obligations.
6.5 Member benefits and partner offers are supplied by the identified independent provider and are subject to its disclosed conditions, eligibility, availability and expiry. Unless Gamifier expressly agrees otherwise in a separate written agreement, it is not the seller or guarantor of those goods or services.
7. Intellectual property, User Content and photographs
7.1 Gamifier and its licensors own or license the software, design, branding and other intellectual property in Bookezi. Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Platform for its intended purpose. No ownership is transferred. Do not use Gamifier's or Bookezi's name or branding to imply sponsorship, affiliation or endorsement without our written permission.
7.2 You retain any ownership rights you have in your User Content. You must hold the rights, permissions and other lawful authority necessary to upload it and permit its use for the purposes described in these Terms. This includes required permissions relating to photographs, identifiable individuals, third-party documents and confidential information. Your content must be lawful, accurate and appropriate for its intended audience.
7.3 You grant Gamifier a non-exclusive, worldwide, royalty-free licence to host, store, back up, reproduce, technically adapt, transmit and display your User Content only as reasonably necessary to provide, secure and support Bookezi and only to permitted audiences. Necessary service providers may perform these functions under appropriate obligations. This licence does not waive privacy rights or authorise unrelated uses. It ends when the content is deleted, except to the extent necessary for restricted backups, specific legal holds or other copies lawfully retained as explained in the Privacy Policy.
7.4 The operational content licence includes private member-facing app and website areas. It does not automatically authorise public promotional use of identifiable photographs, private posts or documents. Public website, social-media and other marketing use requires separate, specific permission identifying the material, channels and purpose. For minors, the required legally authorised guardian permission and other applicable safeguards must be obtained, and the young person's wishes respected. Refusal must not prevent ordinary membership or Platform access. Withdrawal and lawful retention of permission evidence are addressed in the Privacy Policy. An Organiser may not grant another person's permission unless legally authorised.
7.5 Users and Organisers must not disclose another person's identity, age-verification, licence or insurance documents, emergency contacts, passenger information, necessary health records or internal conduct and performance records to ordinary members or the public. These records must remain accessible only to authorised Organisers and Gamifier personnel with a legitimate need to know under clause 9.2. Necessary emergency or authority disclosure is permitted only where lawfully required or justified for the specific purpose. Ordinary member-directory sharing must be clearly explained and lawful. Minor profiles, contact details and attendance information remain subject to the enhanced restrictions in clause 9.5, regardless of ordinary directory settings. Club acceptance does not authorise unrestricted disclosure.
7.6 Public Club discovery information and Event summaries may be displayed to their intended public audience when deliberately supplied for that purpose. Organisers must have appropriate rights and permissions for the images and personal information included. Private profiles remain within authorised Club audiences; restricted information remains subject to clauses 7.5 and 9.2.
7.7 We may use voluntary product feedback to develop and improve Bookezi without compensation or an obligation to implement it. This does not authorise public reuse of confidential or personal information contained in that feedback.
8. Acceptable use, reporting and moderation
8.1 You must not use Bookezi for unlawful activity, conduct that recklessly or unlawfully endangers people, fraud, harassment, threats, discrimination, defamation, bullying, grooming, child sexual abuse or exploitation, sexual extortion, trafficking, unlawful or pornographic content, infringement, stalking, unauthorised surveillance or disclosure, malicious code, unauthorised access, extraction of personal data, spam or unauthorised solicitation. Do not promote illegal racing, reckless driving, dangerous challenges or activities that unlawfully endanger people. Do not solicit a minor's sexual content, expose minors to age-inappropriate material or use the Platform to arrange exploitative contact.
8.2 Do not interfere with the Platform, evade security, misuse administrative permissions, scrape or systematically extract content without authority, reverse engineer except where mandatory law permits, copy or resell the software, or exploit vulnerabilities. Report security issues privately to support rather than publishing personal information or exploit instructions.
8.3 Users can report content and users through Bookezi's in-app reporting tools and use available blocking controls. Users may also contact their Organiser or Bookezi support. Organisers are responsible for day-to-day moderation of their communities. Gamifier maintains Platform-level reporting and moderation processes and may investigate reports, cooperate with Organisers, preserve necessary evidence, restrict or remove content, and suspend or terminate access where appropriate.
8.4 We apply moderation measures appropriate to the content and risks involved, including measures intended to prevent or remove prohibited content. We assess reports in a timely and proportionate manner, taking account of seriousness and urgency. We do not guarantee continuous monitoring or an immediate response to every report. Bookezi reporting is not a substitute for contacting emergency services or authorities where necessary.
8.5 Where appropriate and lawful, affected users may request review through support. Immediate restrictions may be applied for safety, security, serious abuse or legal requirements. We may withhold information where disclosure would prejudice security, an investigation or another person's rights. Disclosure to authorities must have a lawful basis.
8.6 Bookezi prohibits child sexual abuse and exploitation, including child sexual abuse material, grooming, sexual extortion and sexual trafficking. Users may report concerns through the in-app reporting tools or contact support@thegamifiergroup.com, identifying the report as a child-safety concern. Do not download, redistribute or send suspected illegal imagery to support; report the relevant account or content location. We assess child-safety reports urgently according to their seriousness, restrict or remove prohibited content and accounts where appropriate, preserve only necessary evidence lawfully and report confirmed child sexual abuse material to the competent regional authority or other legally required reporting body. Platform safeguards and moderation obligations remain Gamifier's responsibility; Organisers remain responsible for their own community conduct and in-person safeguarding. Contact emergency services or the competent child-protection authority directly if someone is in immediate danger.
9. Privacy, restricted records and communications
9.1 The Gamifier Group Privacy Policy explains personal-information handling for Bookezi and Gamifier's roles in relation to Club records. It is available at https://www.thegamifiergroup.com/privacy-policy and must be accessible before relevant collection. Clubs must identify their responsible controller and provide their own privacy notices. These Terms do not replace those notices or make all processing consent-based.
9.2 Joining a Club may involve sharing information with authorised administrators and, where appropriately disclosed and lawful, other members. Organisers must configure access consistently with their notices and applicable law. Identity, age-verification, licence and insurance documents, guardian records, emergency contacts, passenger information, necessary health records and internal conduct or performance records must remain restricted to authorised personnel with a legitimate need to know, regardless of ordinary member-directory settings. Gamifier personnel may access information as necessary for authorised support, security, misuse investigations or legal duties. Emergency or legal disclosures remain subject to clause 7.5. Minor information is additionally subject to clauses 9.5 and 9.6.
9.3 Organisers may record passenger details and internal administrative notes only where necessary for defined, lawful purposes. They must minimise information, distinguish factual observations from allegations, keep records accurate and proportionate, restrict access and apply justified retention and correction procedures. Required guardian authority, lawful grounds and notices must be obtained for minors' information. Emergency contacts, passenger details and guardian records must not be used for marketing. Club records must not be shared across communities without a specific lawful basis and required disclosure.
9.4 Necessary account, security, membership and Event communications may be sent through available channels. Promotional communications and promotional image use must be handled separately under applicable law and your preferences. You may withdraw relevant consent or marketing permissions through support or available controls without affecting earlier lawful processing or necessary service communications.
9.5 Minor accounts and information require age-appropriate privacy and safety safeguards. A minor's profile must not be made publicly searchable, and contact details, precise whereabouts and attendance information must not be exposed to the public or unrelated users. Any necessary community visibility must be limited to a disclosed lawful purpose and suitable authorised audience, with required guardian approval and applicable restrictions. Organisers must not override these safeguards through directory settings. Required parental controls, communication restrictions and age-appropriate content controls must be applied. Guardian acceptance is not permission for unrelated tracking, targeted advertising, public profile exposure or promotional-photo use. Where lawful safeguards cannot be provided, the affected account or feature must remain unavailable to the minor.
9.6 Children below the personal-account minimum may be recorded as passengers or other dependants only where necessary and lawful for a defined attendance purpose, without creating an account for them. For children under 13, relevant data must not be collected or uploaded unless all applicable legal conditions are satisfied, including explicit, documented and verifiable guardian consent where required, clear notices, restricted access, a straightforward withdrawal process and applicable limits on permitted data and purposes. An ordinary Club waiver or a parent typing a name does not by itself satisfy those conditions. Do not upload information where the required lawful basis or safeguards are absent.
10. Availability, maintenance and support
10.1 We will provide the Platform with reasonable care and skill. We do not promise continuous availability, error-free operation, uninterrupted notifications, compatibility with every device or indefinite retention of messages. Maintain copies of essential Event information and relevant contact details, and confirm critical updates with the Organiser.
10.2 We may maintain, update or change functionality and use third-party infrastructure. We will provide reasonable notice of material planned disruption where practicable. Remedies relating to paid administrative subscriptions are governed by the Organiser Subscription Agreement and applicable law.
10.3 We are not responsible for a failure to the extent caused by circumstances beyond our reasonable control, provided we take reasonable mitigation steps. This does not excuse a failure of obligations that cannot lawfully be excluded.
11. Suspension, termination and account deletion
11.1 We may proportionately restrict content or access for a material breach, credible safety or security risk, suspected fraud, unlawful conduct or legal requirement. Where appropriate, we will explain the reason and provide a reasonable opportunity to remedy the issue or seek review. We may withhold details where disclosure would prejudice security, an investigation or another person's rights. Paid subscription suspension and termination are also subject to the Organiser Subscription Agreement.
11.2 You may stop using Bookezi at any time and initiate deletion of your account and associated personal information through the account-deletion option within the app or the account-deletion resource on the Bookezi website. Support can assist but is not a prerequisite to initiating deletion. We may apply reasonable identity and intention checks, explain the expected completion period and confirm completion. A legally authorised guardian may contact support regarding a minor's account or withdrawal of approval; requests must be handled with appropriate identity, authority and child-privacy safeguards.
11.3 Following a verified deletion request, we will delete associated personal information or irreversibly anonymise it where appropriate, subject to specific lawful retention requirements and exceptions explained in the Privacy Policy. Any retained information must be limited to what is necessary, protected appropriately and used only for the justified retention purpose. Restricted backups must expire under the documented retention cycle and not be restored to ordinary use in a way that defeats the request.
11.4 A Club may have separate lawful obligations or grounds concerning records it independently controls. We will explain relevant limits on deletion and coordinate with the responsible Organiser where required. This does not permit blanket or indefinite retention of Club records. Deleting a Bookezi account does not automatically cancel a separate Organiser subscription or resolve external Club payments; subscription cancellation arrangements are governed by the Organiser Subscription Agreement.
11.5 On termination, the affected access rights end. Obligations concerning accrued claims, intellectual property, lawful retention and deletion, and disputes continue to the extent necessary and lawful.
12. Responsibility and limitation of liability
12.1 Gamifier provides community-management technology. Each identified Organiser controls and is responsible for its Club and Events, including its acts and omissions and those of persons for whom it is legally responsible. Use of Bookezi, implementation assistance, document storage, acceptance recording or a reservation does not make Gamifier an event operator, supervisor, safety assessor or guarantor. Gamifier remains responsible for its own contractual and statutory obligations.
12.2 Subject to clause 12.5 and to the extent permitted by law, Gamifier does not assume liability for an Organiser's failure to exercise due diligence, obtain permits or insurance, check participants, vehicles or equipment, provide safe and lawful arrangements, safeguard or supervise participants, or comply with its obligations. This also applies to losses attributable to independent participants or suppliers, Organiser content, Event cancellations, participation decisions and external payments. These provisions do not exclude liability to the extent Gamifier's own actionable conduct caused or contributed to the loss. Membership and participation arrangements are with the identified Organiser, as described in clauses 2 and 4.
12.3 Subject to clause 12.5 and only to the extent permitted by applicable law, Gamifier excludes liability for indirect or consequential loss and loss of business profit, opportunity or goodwill. This exclusion does not remove mandatory compensation rights.
12.4 Liability concerning an Organiser's paid subscription is governed by the Organiser Subscription Agreement, subject to clause 12.5 and applicable law. A subscription liability cap does not automatically apply to an ordinary Member's claim, reduce the Organiser's responsibility for its Club or Events, or limit a refund or payment Gamifier is legally required to make.
12.5 No exclusion or cap applies to fraud, wilful misconduct, gross negligence, death or personal injury caused by Gamifier's negligence, liability arising from a harmful act that cannot lawfully be excluded or reduced, mandatory consumer or data-protection remedies, or any other liability that applicable law prohibits Gamifier from excluding or limiting. No Club waiver expands Gamifier's rights beyond these lawful limits.
12.6 Each contracting Organiser accepting these Terms must indemnify The Gamifier Group FZ LLE against third-party claims and resulting liabilities, damages and reasonable legal and defence costs, to the extent arising from its Club or Events and attributable to its acts or omissions, negligence, unlawful conduct, breach of these Terms or persons for whom it is legally responsible. This includes failures concerning permits, insurance, participant or equipment eligibility, safety or safeguarding arrangements, participant information and necessary permissions. The indemnity does not apply to the extent a claim is attributable to Gamifier's own breach, negligence or other actionable conduct, and does not shift liability where law prohibits doing so. It applies to the contracting Organiser identified under clause 1.4; an administrator does not become personally liable for an entity's obligations merely by holding a login. Ordinary Members, including minors, and guardians approving ordinary Member use give no Organiser indemnity under this clause.
12.7 Gamifier must notify the Organiser reasonably promptly of an indemnified claim; delay reduces the Organiser's obligation only to the extent it materially prejudices the defence. The parties must reasonably cooperate. Subject to applicable law, the Organiser may conduct the defence using competent counsel reasonably acceptable to Gamifier, provided it acknowledges the indemnity obligation and acts diligently. Gamifier may participate using its own counsel at its own expense, except where separate representation is reasonably necessary because of a conflict or the Organiser fails to defend diligently, in which case reasonable costs are recoverable to the extent covered by clause 12.6. No settlement may admit fault by Gamifier, impose a non-monetary obligation on it or fail to fully release it from the settled claim without Gamifier's prior written consent, not unreasonably withheld. Gamifier must take reasonable steps to mitigate recoverable loss. There shall be no double recovery under these Terms and the Organiser Subscription Agreement.
12.8 Organisers must obtain and maintain insurance required by law and reasonably appropriate to their actual activities and liabilities, and ensure that material exclusions do not leave required activities uninsured. Gamifier's identity or subscription checks are not insurance approval. Any request for evidence does not relieve an Organiser of responsibility for selecting and maintaining suitable cover.
12.9 Members remain responsible for their own breaches and actionable conduct to the extent provided by applicable law. A guardian's approval does not create an unlimited guarantee of a minor's conduct, waive the child's protected rights or impose an Organiser indemnity. Nothing prevents complaints to competent authorities or a third party bringing a claim. The Organiser Subscription Agreement must preserve the allocation of Club and Event responsibility and the mandatory-law protections stated here.
13. Changes and general provisions
13.1 We may amend these Terms for legal, security, operational or product reasons. We will notify users of material changes, identify the effective date and seek fresh user and, where required, guardian acceptance. Except for urgent legal or security changes, we will provide at least 30 days' notice before material changes take effect. Changes do not retrospectively remove accrued rights. Amendments to paid subscription terms are governed by the Organiser Subscription Agreement.
13.2 If a provision is invalid or unenforceable, it will be limited or severed only to the extent lawful and the remaining provisions continue. Failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent. Gamifier may transfer it as part of a restructuring or business sale with appropriate notice and without reducing mandatory rights or applicable data safeguards.
13.3 These Terms and applicable supplemental terms expressly accepted through the required user and guardian processes comprise the agreement for general Platform use. Club agreements remain separate under clause 4. The Privacy Policy explains processing and is not a waiver of privacy rights. Nothing excludes liability for fraud or overrides representations or rights that law protects.
13.4 No employment, partnership, joint venture or agency relationship is created between Gamifier and a Club, Organiser or Member merely through Platform use.
14. Governing law, disputes and contact
14.1 UAE federal law and the laws applicable in the Emirate of Fujairah govern this agreement, subject to mandatory protections that apply to you and cannot be displaced by a choice of law.
14.2 Contact support so that we can seek to resolve a dispute within 30 days. This process does not prevent urgent relief, complaints to competent authorities or action necessary to preserve a legal deadline, and is not a bar to exercising mandatory rights.
14.3 Subject to mandatory jurisdiction rules and any non-excludable right to bring proceedings elsewhere, the competent courts of Fujairah, UAE have jurisdiction over disputes concerning this agreement. These Terms do not impose mandatory arbitration.
14.4 Contact Gamifier at support@thegamifiergroup.com or +971 56 999 1114. Postal address: The Gamifier Group FZ LLE, Office 1309, 13th Floor, Creative Tower, Fujairah, UAE.
